Determinations and Advice: Recording Interpretations, and Knowing When to Call the Lawyer

Much of compliance is interpretation held consistently: the determination memo, its review triggers, the role of external advice, and privilege handled without theatre. The governance of judgement itself.

The short answer

Between the framework's text and the portfolio's positions sits a layer of judgement: is this construction grade B or C on the current criteria; does this lane fall inside the tier; is this format within the listing's purpose. Those judgements govern real money and real exposure, and they deserve the governance of other consequential decisions - recorded as determination memos (the question, the provision and guidance relied on, the reasoning, the decision and its owner, the review trigger that reopens it), held in a register, and applied consistently until the trigger fires. An unrecorded judgement cannot be applied consistently, defended credibly, or revised intelligently; it can only be remembered differently by everyone who was in the room.

This guide governs the layer, including its boundary with legal advice.

The determination memo in practice

Keep the form short enough to be used: one or two pages, the five fields above, the evidence attached or referenced. The register indexes memos by topic and product population, so a new question first checks whether it has been answered (and whether the answer's trigger has fired). Consistency is the register's first product: the same construction graded the same way in the declaration, the customer answer and the consultation response. Its second product is revision quality - when guidance moves, the trigger list identifies every position resting on the old reading in an afternoon, which is the difference between a framework that evolves and a portfolio that accumulates quiet non-compliance.

When the lawyer joins: scope, privilege, proportionality

External legal advice earns its fee at defined points: novel interpretations with material exposure, authority matters beyond the routine, penalty and liability questions, cross-border conflicts of position, and the structuring of voluntary disclosures. Engage with a scoped question (the memo is the brief's skeleton), record the advice's conclusion in the register under the appropriate handling, and keep privilege in its place - a governance tool for genuinely advisory material, not a filing system for facts, which remain producible and are damaged by being dressed as advice. Proportionality governs the rest: the routine interpretation is the desk's job, and a compliance function that lawyers every judgement has outsourced the judgement it exists to hold.

Consistency across borders and years

The register's sternest test is geographical and temporal: the position taken in the German file, the French consultation and the customer's Spanish tender should be one position, or a documented, principled variation (national law genuinely differs, and the memo says where). Authorities compare notes increasingly; customers compare answers immediately. The determination register, owned centrally and applied locally, is how a multi-market operator thinks with one mind - and its absence is how portfolios discover, in an authority's second letter, that they have been arguing both sides of the same question in two languages.

Judgement, kept

A portfolio's determinations, kept over a decade, become something larger than their sum: the record of how a serious operator thought about a framework as it grew - cited in consultations, produced in inspections, inherited by successors as the business's regulatory memory. Keep them well. In ten years they will be the most interesting document in the building, and the most useful one in the room whenever the framework asks what you were thinking. You will be able to answer.

A determination that carried a launch

A producer's grade determination for a borderline construction - two pages: the criteria text, the testing laboratory's construction analysis, the separability trial's numbers, the decision (grade claimed at the lower, defensible position) with the review trigger set to the criteria's first revision. The memo carried the launch through a retailer's challenge (answered from the memo in a day), an authority's routine query (closed on the memo's evidence), and the criteria revision itself (the trigger fired, the position re-argued in an afternoon from the file). Three events, one document, no meetings of consequence. That is what the register is for, and why its upkeep is priced as infrastructure rather than as administration.
